Advice on equity advisor company?

I currently have a traditional day job as a corporate exec and SME consultant. I now have some other opportunities to serve as an advisor to new startups. One is with a growing tech company, currently valued about $1m for vesting equity. The other is through a PE company that would bring me in consult with their portfolio companies (companies that are young but have positive income). They would pay me but I may at times get equity for this.

I’m planning to hold onto my current job, at least awhile, and they are open to my outside consulting as long as current performance is not affected. I have equity there too but it has less upside. I’m thinking of creating a company for my advisory services, to receive consulting fees and own the shares.

Thus far, my experiences with consulting and equity were as an employee. Do I need a CPA, lawyer, both? Is creating a new company for my non-day job work the right move? Any advice on negotiating equity?

I’d appreciate advice or references to good resources so I can better inform myself.

I’m in the US. If it matters, my expertise is go to market strategy, and I have a network I can leverage to grow customer bases.
